Client Agreement
This Liability & Service Agreement (“Agreement”) is entered into between Clacher IT Solutions
(“Service Provider”) and the client (“Client”). By requesting or receiving services, Client agrees to
the following terms:
1. Assumption of Risk
Client understands that information technology services, including but not limited to computer
repair, diagnostics, network configuration, cybersecurity services, and security system installation,
involve inherent risks. Client agrees that Clacher IT Solutions shall not be held responsible for
unforeseen issues, hardware failure, software corruption, data loss, or security vulnerabilities that
may occur during or after service.
2. No Data Guarantee
Client is solely responsible for backing up all data prior to service. Clacher IT Solutions is not
responsible for data loss, corruption, or inability to recover data under any circumstances.
3. Limitation of Liability
To the fullest extent permitted by law, Clacher IT Solutions shall not be liable for any direct, indirect,
incidental, special, or consequential damages, including but not limited to loss of data, loss of
business, loss of profits, or system downtime, even if advised of the possibility of such damages.
4. Service Limitations
Client acknowledges that some issues may be outside the control or capability of Clacher IT
Solutions due to hardware limitations, software restrictions, third-party vendors, security policies, or
system conditions. No guarantee of resolution is implied unless explicitly stated in writing.
5. Security Systems Disclaimer
Security system installations and configurations reduce risk but do not guarantee prevention of
theft, damage, or unauthorized access. Clacher IT Solutions is not liable for security breaches,
system failures, or criminal acts.
6. Payment Terms
All services are due and payable at the time services are rendered. All sales are final. No refunds
will be issued once service has begun or been completed, regardless of outcome.
7. Indemnification
Client agrees to indemnify and hold harmless Clacher IT Solutions from any claims, damages,
losses, or expenses arising from the use or misuse of serviced equipment or systems.
8. Governing Law
This Agreement shall be governed by the laws of the State of Texas.
9. Acceptance
By authorizing service, Client acknowledges that they have read, understood, and agree to this
Agreement.
Insurance & Professional Liability:
Clacher IT Solutions maintains commercial general liability insurance through Coterie Insurance to support our standard IT services and on-site engagements.
This coverage is intended to address potential property damage or bodily injury that may arise in the course of providing professional IT support, consultations, and related services.
Clacher IT Solutions does not provide monitoring, emergency dispatch, life-safety services, or insurance coverage for customer property, data, or systems. Customers remain responsible for maintaining appropriate insurance coverage for their own equipment, property, and subscriptions.
Proof of insurance can be provided upon reasonable request for legitimate business purposes.
